These Terms of Service (“Terms”) govern your use of services provided by Brainox Tech (“we,” “our,” or “us”), including:
- Agency Services – Meta Ads management, campaign optimization, and related digital marketing services.
- Healthcare SaaS Platform – AI-powered appointment booking, rescheduling, and reminder solutions for hospitals and clinics, integrated with WhatsApp Cloud API.
By using our services, you (“you,” “your,” “user,” or “client”) agree to these Terms. If you do not agree, you must not use our services.
1. Eligibility
- You must be at least 18 years old or the legal age of majority in your jurisdiction.
- By using our SaaS platform, you confirm that you are authorized to represent the hospital, clinic, or organization registering the account.
2. Services Provided
- Agency Services: We manage and optimize advertising campaigns on Meta platforms.
- Healthcare SaaS Services: We provide a software platform enabling hospitals and clinics to automate patient appointment booking, rescheduling, and reminders through WhatsApp Cloud API.
We may update, modify, or discontinue features at any time with reasonable notice.
3. User Responsibilities
You agree to:
- Provide accurate and updated information during registration and service use.
- Maintain confidentiality of your account credentials.
- Use our services only for lawful purposes and in compliance with applicable regulations (including healthcare, data privacy, and advertising laws).
You must not:
- Attempt to gain unauthorized access to our systems.
- Misuse Meta’s or WhatsApp’s APIs in violation of their terms.
- Upload or transmit harmful content, malware, or spam.
- Use our Healthcare SaaS for anything other than hospital/clinic appointment management.
4. Data & Privacy
- We process personal data in accordance with our Privacy Policy.
- For Agency services: we may access and process Meta Ads data on your behalf.
- For SaaS services: we process patient data only to provide appointment management functions.
- We do not sell or rent personal data to third parties.
5. Security
- Our SaaS platform is hosted securely on AWS with strict access controls.
- Patient communication via WhatsApp Cloud API is protected with end-to-end encryption.
- Despite safeguards, no system is completely secure. You acknowledge that you use our services at your own risk.
6. Payments & Billing
- Agency services are billed according to mutually agreed contracts or invoices.
- SaaS platform subscriptions are billed monthly or annually (unless otherwise stated).
- Refunds and cancellations are subject to our Refund & Cancellation Policy (published separately).
7. Intellectual Property
- All software, content, designs, and technology provided by Brainox Tech remain our intellectual property.
- You are granted a limited, non-transferable license to use the SaaS platform for your hospital/clinic operations.
- You may not reverse-engineer, copy, or resell our services without written permission.
8. Third-Party Services
Our services may rely on third-party platforms such as Meta (Facebook, WhatsApp, Instagram) and AWS.
- By using our services, you also agree to comply with the terms and policies of these third-party providers.
- We are not liable for outages, changes, or restrictions imposed by third-party services.
9. Limitation of Liability
- We are not responsible for indirect, incidental, or consequential damages, including loss of revenue, data, or goodwill.
- Our total liability for any claim shall not exceed the amount you paid to us for the services in the 3 months preceding the claim.
- For Healthcare SaaS: We do not provide medical advice. The platform is solely a scheduling and reminder tool. All medical responsibilities remain with the hospital or clinic.
10. Termination
We may suspend or terminate your access if:
- You violate these Terms.
- You misuse our services or engage in unlawful activity.
- Required by law or by third-party platform restrictions.
You may terminate your use of services at any time by contacting us.
11. Changes to Terms
We may update these Terms periodically. Changes will be posted on this page with the “Last Updated” date revised. Continued use of services after updates constitutes acceptance.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Disputes shall be resolved in the courts of Bundi, Rajasthan, India.
